Terms of Service for Northstar Streamworks Studio
Effective Date: July 6, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Northstar Streamworks Studio (“Northstar Streamworks Studio,” “we,” “us,” or “our”), a streaming-studio business located at 1250 Granville Street, Vancouver, BC V6Z 1M7, Canada.
By accessing our website, booking our services, entering our studio, submitting content, or otherwise engaging with our live stream production, multi-camera studio recording, green screen filming, podcast and webcast production, virtual event hosting, audio mixing and voice capture, or post-production editing services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and “you” will refer to that entity.
2. Scope of Services
Northstar Streamworks Studio provides professional media production and related services, which may include, without limitation:
- Live stream production;
- Multi-camera studio recording;
- Green screen filming;
- Podcast and webcast production;
- Virtual event hosting;
- Audio mixing and voice capture;
- Post-production editing; and
- Related technical, creative, and support services agreed in writing.
Service descriptions, deliverables, timelines, specifications, and pricing may be set out in a quote, invoice, booking confirmation, statement of work, or other written agreement (each, an “Order”). In the event of a conflict between these Terms and an Order, the Order will prevail only to the extent of the conflict.
We may use subcontractors, freelancers, equipment vendors, software providers, and hosting platforms to deliver the Services, provided that we remain responsible for our own obligations under these Terms.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, current, and complete information when booking or using the Services;
- Ensure that all content, materials, scripts, audio, video, images, music, logos, trademarks, and other assets you provide are lawful and do not infringe any third-party rights;
- Obtain all necessary permissions, releases, licenses, and consents for any persons, locations, performances, music, or materials included in your production;
- Comply with all applicable federal, provincial, and municipal laws, regulations, and industry standards in Canada;
- Follow all studio rules, safety instructions, technical requirements, and reasonable directions from our staff;
- Not bring prohibited items, hazardous materials, or unlawful content into the studio or into any virtual production environment;
- Be responsible for backup copies of your content and materials unless we expressly agree otherwise in writing; and
- Promptly notify us of any issues, errors, or concerns relating to the Services.
You are solely responsible for the legality, accuracy, and appropriateness of the content you provide or direct us to produce, publish, stream, record, edit, or distribute.
You represent and warrant that your use of the Services will not:
- Violate any law or regulation;
- Infringe intellectual property, privacy, publicity, or moral rights;
- Contain defamatory, obscene, hateful, discriminatory, harassing, or unlawful material;
- Interfere with our equipment, systems, staff, other clients, or studio operations; or
- Cause us to breach any law or third-party obligation.
4. Payment Terms and Conditions
Unless otherwise stated in an Order, all fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes, including GST/HST/PST, which will be added where required by law.
Payment terms may include one or more of the following, as specified in the applicable Order:
- Advance deposits or retainers;
- Milestone payments;
- Hourly, half-day, full-day, or project-based rates;
- Equipment, staffing, studio, and post-production charges;
- Rush fees, overtime fees, storage fees, or revision fees; and
- Third-party costs incurred on your behalf.
Unless otherwise agreed in writing, invoices are due upon receipt. Late payments may result in suspension of Services, withholding of deliverables, cancellation of bookings, and/or interest on overdue amounts at the maximum rate permitted by applicable law, calculated from the due date until paid in full.
You are responsible for all collection costs, including reasonable legal fees and disbursements, incurred by Northstar Streamworks Studio in collecting overdue amounts, to the extent permitted by law.
We may require a valid payment method on file and may pre-authorize, charge, or re-charge amounts due for deposits, cancellations, additional services, damage, or unpaid balances, subject to applicable law and card network rules.
5. Cancellation and Refund Policy
Cancellations and rescheduling requests must be made in writing and are subject to the terms of the applicable Order and the following general policy unless a different policy is expressly agreed in writing:
- Cancellations made more than 14 days before the scheduled service date may be eligible for a partial refund of prepaid fees, less any non-refundable deposits, administrative fees, and third-party costs already incurred;
- Cancellations made 7 to 14 days before the scheduled service date may result in forfeiture of the deposit and may be subject to additional cancellation charges;
- Cancellations made less than 7 days before the scheduled service date, or no-shows, may be charged up to the full amount of the booked Services;
- Rescheduling is subject to availability and may incur administrative or change fees;
- Any third-party costs, permits, talent fees, licensing fees, or custom purchases are non-refundable once incurred.
Refunds, if any, will be issued only for amounts actually paid and only to the original payment method where practicable. We do not guarantee refunds for completed Services, partially completed Services, or deliverables already approved, published, or delivered.
If we must cancel due to equipment failure, staffing issues, safety concerns, legal restrictions, or other operational reasons, our liability will be limited to rescheduling the Services or refunding the affected prepaid fees for the cancelled portion, at our discretion and subject to applicable law.
6. Liability Limitations
To the maximum extent permitted by applicable law, Northstar Streamworks Studio will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, content, or anticipated savings, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the total fees paid by you to Northstar Streamworks Studio for the specific Service giving rise to the claim in the three (3) months preceding the event giving rise to liability, or CAD $1,000, whichever is greater, except where a greater limitation is prohibited by law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is not permitted.
You acknowledge that live streaming, recording, editing, and digital transmission services may be affected by internet outages, software failures, platform restrictions, power interruptions, equipment malfunction, or third-party service disruptions. We are not responsible for failures caused by third-party platforms, carriers, hosting providers, or your own equipment, content, or instructions.
You agree to indemnify, defend, and hold harmless Northstar Streamworks Studio, its directors, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your content, your instructions, or your violation of any law or third-party right.
7. Intellectual Property Rights
As between you and Northstar Streamworks Studio, each party retains ownership of its pre-existing intellectual property, including trademarks, logos, software, workflows, templates, methods, and proprietary materials.
Unless otherwise agreed in writing:
- You retain ownership of the content, footage, audio, images, scripts, and materials you supply to us;
- Upon full payment, you will own the final deliverables specifically created for you under an Order, excluding our pre-existing materials, tools, templates, and know-how incorporated into those deliverables;
- We grant you a non-exclusive, non-transferable license to use any of our pre-existing materials embedded in the deliverables solely as necessary to use the deliverables for your internal or commercial purposes, subject to any third-party license restrictions;
- We may retain copies of project files, raw footage, and working materials for archival, backup, quality assurance, legal, and operational purposes unless otherwise agreed in writing.
You grant Northstar Streamworks Studio a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, display, and process your content solely to perform the Services and, unless you notify us in writing otherwise before the project begins, to use excerpts, stills, or descriptions of the project for our portfolio, website, social media, proposals, and marketing materials, provided such use does not disclose confidential information or violate applicable law.
If you require a non-disclosure arrangement, embargo, or no-portfolio restriction, it must be agreed in writing before the Services begin.
8. Data Protection and Privacy
We collect, use, disclose, and retain personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, British Columbia privacy laws.
Personal information may include names, contact details, billing information, production preferences, login credentials for virtual events, and audiovisual recordings where individuals are identifiable. We use personal information to:
- Provide and manage the Services;
- Process bookings, payments, and invoices;
- Communicate with you about projects and support;
- Maintain records and comply with legal obligations;
- Protect against fraud, misuse, and security incidents; and
- Improve our Services and operations.
We may share personal information with trusted service providers, payment processors, cloud storage providers, streaming platforms, and other third parties only as necessary to deliver the Services or as required by law. Where third-party platforms are used, their own terms and privacy policies may apply.
You are responsible for obtaining any required consents from participants, guests, speakers, audience members, or other individuals whose personal information or likeness is captured, streamed, recorded, or processed through the Services.
We implement reasonable administrative, technical, and physical safeguards designed to protect personal information, but no method of transmission or storage is completely secure. To the extent permitted by law, we are not liable for unauthorized access, disclosure, or loss caused by events beyond our reasonable control.
9. Force Majeure
Northstar Streamworks Studio will not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond our reasonable control, including but not limited to:
- Acts of God, fire, flood, storm, earthquake, or other natural disasters;
- Power outages, internet failures, telecommunications disruptions, or equipment breakdowns;
- Labour disputes, strikes, or shortages;
- Government action, public health restrictions, war, terrorism, civil unrest, or emergency orders;
- Failures of third-party platforms, software, hosting services, or suppliers; and
- Any other event reasonably beyond our control.
In such circumstances, we may suspend, reschedule, modify, or cancel affected Services without liability, except for any refund or credit expressly required by law or agreed in writing.
10. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our Services, business practices, or applicable law. The updated Terms will be effective when posted on our website or otherwise communicated to you, unless a later effective date is stated.
Your continued use of the Services after the effective date of any revised Terms constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and, where applicable, cancel any future bookings in accordance with these Terms.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the Services, or any Order will be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Vancouver, British Columbia will have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the Services, subject to any mandatory consumer protection laws that may apply and cannot be waived.

Notices to you may be sent to the email address or other contact information you provide to us. Notices will be deemed received when sent, unless we receive a delivery failure notice.
13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or other competent authority, that provision will be severed or limited to the minimum extent necessary so that the remaining provisions remain in full force and effect to the maximum extent permitted by law.
The failure of Northstar Streamworks Studio to enforce any right or provision under these Terms will not constitute a waiver of that right or provision unless acknowledged in writing.
Entire Agreement: These Terms, together with any applicable Order, constitute the entire agreement between you and Northstar Streamworks Studio regarding the Services and supersede prior or contemporaneous understandings relating to the same subject matter.
